Terms of Service.
The rules. Plain English. No surprises. If something is unclear, mail us — we will fix it.
1. Who we are
"Quorum", "we", "us" refers to LiC Company sp. z o.o. (Polish limited company, KRS 0001207472), Warsaw, Poland. VAT PL9592088245. Quorum and Quorum Terminal are product brands of LiC Company sp. z o.o.
2. What this agreement covers
These Terms govern your use of Quorum Terminal (the "Software") and the quorumkairos.ai website (the "Site"). By downloading or using the Software, you accept these Terms.
3. License
Quorum Terminal is proprietary, closed-source software. We grant you a non-exclusive, non-transferable, revocable license to install and use the Software on devices you own or control, subject to your plan limits.
- Free plan: personal and commercial use, limited features.
- Pro plan: full features, single user. License is per-user, not per-device.
- Team plan: per-seat, transferable within your organization.
You may not reverse-engineer, decompile, or redistribute the Software. You may run unlimited installs of your own license on your own machines.
4. Payment, trial & cancellation
- Pro and Team plans bill monthly or annually, automatically renew, cancel anytime from your account.
- Annual plans get 2 months free (effective ~17% discount).
- 14-day free trial: evaluate Quorum free for 14 days with no charge — decide before you pay. After the trial, paid subscriptions are non-refundable, except where mandatory consumer law requires otherwise.
- Pricing is in USD. EU customers pay VAT (we collect and remit per Polish tax law).
5. Acceptable use
You may not:
- Use the Software to commit crimes or violate third-party rights
- Share, sell or sublicense your license
- Resell capacity (e.g. run a Quorum-as-a-service for third parties without a separate agreement)
- Use the Software to scrape, mass-process, or otherwise abuse AI provider APIs in ways that violate their terms
6. AI providers (your responsibility)
Quorum is a client for AI coding tools (Claude Code, Codex CLI, Gemini CLI). It does not provide AI services itself. Your relationship with Anthropic, OpenAI, Google, etc. is governed by their terms — Quorum is not party to that relationship. Their content policies, billing terms, and data handling apply to your use of their services through Quorum.
7. Warranty disclaimer
The Software is provided "as is", without warranty of any kind. We strive for quality but cannot guarantee zero bugs, zero downtime of license servers, or fitness for a specific purpose.
8. Limitation of liability
To the maximum extent permitted by law, our total liability is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages (lost profits, data loss, etc.).
This does not limit liability for fraud, willful misconduct, or anything that cannot legally be limited.
9. Termination
You can stop using Quorum at any time. We can terminate your license if you breach these Terms — we will give 30 days notice and a chance to fix it, except for egregious cases (illegal use, etc.) where termination may be immediate.
10. Governing law and disputes
These Terms are governed by Polish law. Any dispute will be resolved in the courts of Warsaw, Poland.
If you are an EU consumer, you have additional rights under EU consumer law that these Terms cannot override.
11. Changes
We may update these Terms. Material changes: 30 days email notice. Minor changes (typos, clarifications): published immediately, with changelog at bottom.
